Friedrichshafen AG is a leading worldwide supplier for Driveline and Chassis Technology.
ZF is engaged in production and sales of automotive parts in P. R. China. (abbrev.
China hereinafter) ZF has established a large number of wholly German owned enterprises
as well as joint ventures in China, among which 'ZF Drivetech (Hangzhou) Co.,
Ltd.' and 'ZF Drivetech (Suzhou) Co., Ltd.' are wholly owned German subsidiaries
in China responsible for production and sales of transmissions for trucks and
buses. From
the date hereof, in terms of production and sales of transmissions for trucks
and buses, there exists/exist neither technical transfer contract(s) nor technical
license contract(s) whatsoever between ZF Friedrichshafen AG and any enterprise,
organization or individual in China. ZF
Friedrichshafen AG is the exclusively legitimate owner of the international registered
trademark 'ZF', which also has been legally registered in China and utilized on
different automotive parts including transmissions for trucks and buses. "ZF
(China) Investment Co., Ltd." is an investment company in China wholly owned
by ZF Friedrichshafen AG. Hereby, on behalf of ZF Friedrichshafen AG, "ZF
(China) Investment Co., Ltd." makes following declaration with regard to
utilization of 'ZF' trademark on transmissions for trucks and buses produced and/
or sold in China: Without
permission granted by ZF Friedrichshafen AG, no enterprise, organization or individual
is allowed to utilize 'ZF'trademark on transmissions for trucks and buses produced
and / or sold in China. Otherwise, legal actions will be taken accordingly. November
